Senior Corporate Paralegal
We are seeking a Senior Corporate Paralegal to join our Corporate Services Department in our Montréal office. Reporting to the Partner overseeing the Paralegal team, you will play a key role in supporting our business law practice.
In this position, you will work closely with lawyers and clients on a broad range of corporate matters, including incorporations, reorganizations, mergers and acquisitions, and corporate governance. You will also take on a leadership role by mentoring and supporting junior paralegals and legal assistants, contributing to a strong culture of knowledge sharing and professional development within the team.
Essential Functions:
- Independently draft and review legal documentation related to corporate transactions, including resolutions, minutes, share certificates, and corporate records.
- Conduct due diligence and prepare closing agendas and supporting documentation for corporate transactions and reorganizations.
- Maintain and update corporate records, ensuring compliance with applicable federal and provincial legislation and regulations.
- Coordinate and file corporate documents with governmental and regulatory authorities, including Corporations Canada and the Registraire des entreprises du Québec.
- Oversee and conduct corporate and legal searches using various databases, including the Registraire des entreprises du Québec, Corporations Canada, RDPRM, the Office of the Superintendent of Bankruptcy, SOQUIJ, and the land registry.
- Supervise minute book reviews, prepare detailed reports, and draft corrective resolutions as required.
- Support lawyers in managing client relationships by responding to inquiries and ensuring timely delivery of legal services.
- Provide guidance, training, and mentorship to junior paralegals and legal assistants, fostering a collaborative and development-oriented team environment.
Qualifications:
- Fully bilingual in French and English (spoken and written). This role requires regular interaction with English-speaking clients, third parties, and colleagues across Canada where English is the primary working language. Given that more than 50% of the responsibilities are conducted in English, a high level of written and verbal proficiency is essential, along with excellent command of French.
- Diploma of College Studies (DCS/DEC) in Paralegal Technology or a Certificate in Law.
- 5–8 years of experience as a paralegal within a corporate services or business law environment, with strong expertise in corporate law.
- Strong legal research skills and demonstrated experience with corporate filings and registrations (e.g., Registraire des entreprises du Québec, Corporations Canada, RDPRM).
- Proven ability to review and analyze legal documents with a high level of accuracy and attention to compliance.
- Proficiency in Microsoft Office and strong overall technical skills.
- Demonstrated ability to manage multiple priorities and meet tight deadlines while maintaining exceptional attention to detail.
- High level of professionalism, discretion, and a client-service mindset.
- Excellent interpersonal and communication skills, with the ability to interact effectively with colleagues, clients, and external stakeholders.
- Ability to work independently while contributing positively to a collaborative team environment.
