Overview

Michelle Galati has a corporate commercial and securities law practice with a focus on corporate finance, corporate governance, commercial transactions and mergers and acquisitions.

Before becoming an associate at Bennett Jones, Michelle summered and articled with the firm.

•  Zhone Technologies, Inc., a global provider of fiber optic broadband solutions and cloud software services, in connection with its acquisition of substantially all of the worldwide assets and international subsidiaries of DZS Inc., DZS Services Inc. and DZS California Inc. by way of an Asset Purchase Agreement and an order of the United States Bankruptcy Court out of Chapter 7 bankruptcy proceedings for the Eastern District of Texas approving such sale of assets; and in connection with Zhone's acquisition of Net Comm Wireless Pty Ltd. pursuant to a Deed of Company Arrangement (DOCA) approved by creditors and the Federal Court of Australia
•  Hut 8 Mining in its C$95-million sale of a 310-megawatt power portfolio to TransAlta
•  Optiva in connection with a proposed strategic combination transaction with Qvantel by way of a plan of arrangement under the Canada Business Corporations Act to create a leading, AI-enabled digital BSS provider
•  The Initial Consenting Senior Secured Noteholders of Sherritt International Corporation, a nickel and cobalt producer and refiner, in connection with a note exchange and recapitalization by way of Court-approved plan of arrangement
•  Employment Hero Holdings, as Canadian counsel, in its acquisition of Humi Holdings, valued at over C$100 million
•  O3 Mining Inc. in its $204 million-acquisition by Agnico Eagle Mines Limited by way of a negotiated take-over bid 
•  The founders of LiftWerx Solutions in their majority interest sale of the company to TowerBrook Delta Fund (managed by TowerBrook Capital Partners)
•  Drone Delivery Canada in its merger with Volatus Aerospace by way of plan of arrangement to create a world-leading drone technology and services company
