Overview

Samantha Lush practices commercial real estate law, advising clients in relation to leasing, acquisitions and dispositions, real estate advice on mergers and acquisitions, real estate-based financing, property development (including condominium projects) and transactions involving distressed properties.

Samantha has had a leading role representing both landlords and tenants on commercial leasing transactions involving build-to-suit, office, retail, industrial and agricultural premises. She has extensive experience handling everything from small retail tenants and ground leases to large-scale, long-term commercial occupancies.

She has a proven track record representing vendors, purchasers and developers on the acquisition, disposition and development of office towers, retail projects, industrial projects, mixed-use projects and development sites. She also assists with real estate restructuring and insolvency matters, including significant and complex receiverships, CCAA reorganizations and distressed acquisitions and dispositions of properties.

Her technical excellence and in-depth knowledge of the real estate sector ensure clients receive accurate, practical and strategic advice throughout all stages of real estate transactions.

Experience
•  Calgary Municipal Land Corporation, in collaboration with the City of Calgary, in coordinating a multi-parcel acquisition framework designed to accommodate phased development, varying site conditions, and future private investment across multiple locations and in the overall delivery of transit-oriented communities and various ongoing capital projects in East Village
•  Omega Morgan Holdings, Inc. in its acquisition of Donald Rigging Ltd. 
• 

Danube Farming Ltd. in its sale of 203 acres of bare land in the City of Calgary.

•  Acciona Wind Energy Canada, in the acquisition of the 280 MW Forty Mile Wind Project in  Alberta from the RES Group.
• 

Canadian Utilities Limited, an ATCO company, in its $730-million acquisition of a portfolio of wind and solar assets and projects located in Alberta and Ontario from Suncor Energy Inc.

•  Hillcore Group in its acquisition of Thompson Construction Group, a leading heavy civil contractor and construction company in Western Canada.
•  Third Eye Capital, in connection with a management buyout of a privately held energy services company, and the establishment of credit facilities related thereto.
•  Third Eye Capital, in connection with the establishment of credit facilities for Pieridae Energy.
•  TriWest / Fraser River Pile & Dredge, in secured debt facilities.
•  The purchaser, in a single purchase of over 11,000 acres of active farmland throughout Alberta and British Columbia, plus numerous other transactions for the same client totaling over 20,000 acres in the past few years.
•  The purchaser of the last bareland retail property located within the Deerfoot Meadow Shopping Centre for future development.
•  Negotiated and completed the purchase and assumption of debt of an office tower in Edmonton, Alberta.
•  The tenant in the negotiation of a 100,000ft2 downtown Calgary office lease.
•  A public foreign-controlled corporation, with the acquisition of controlled land in rural Alberta.
•  Stone Canyon Industries Holdings LLC and Kissner Group Holdings, as Canadian counsel, in their US$3.2-billion agreement to acquire K+S Aktiengesellschaft's North and South American salt business, including Morton Salt and Windsor Salt.
•  Assisted with the disposition of various distressed properties as part of a CCAA-monitored process.
•  Canadian Utilities Limited, an ATCO company, in the sale of its entire Canadian fossil fuel-based electricity generation portfolio for approximately $835 million, which was completed in three stages, through the sale of its interest in the Cory project in Saskatchewan to SaskPower International Inc., a sale of its interest in the Brighton Beach project in Ontario to Ontario Power Generation Inc., and a sale of the balance of the applicable generation assets through a sale of its equity interest in ATCO Power Canada Ltd. to Heartland Generation Ltd., an affiliate of Energy Capital Partners.
•  Kissner Group Holdings LP, completed its acquisition of NSC Minerals Ltd., a market-leading provider of salt products in Western Canada and the North Central United States, from an investor group led by Altas Partners.
•  TriWest Capital Partners, one of Canada’s leading private equity firms, in partnership with senior management, in its investment in PRT Growing Services Ltd.
